Hailey Bieber sells makeup brand Rhode to Elf Beauty in $1B deal

The brand creation of Model Hailey Bieber’s makeup and skincare brand, Rhode, is facing a critical decision as existing big box beauty retailers seek opportunities. The move comes amid a secular shift toward a lower cost, higher quality equipment trend, with budget-based operators accelerating their entry into the luxury cosmetic market.

In a bold move, Elf Beauty is acquiring the entire producing unit of the e-commerce brand midst a robust GEN Z and millennial-centric market growing significantly. The deal, reportedly for $1 billion, could pave the way for global access to Rh新, setting up Elf for a strategic expansion into a premium beauty market.

Elf Beauty, a budget lineage of(freqives)/reserved for highstreet retail outlets, is receiving $800 million in cash and stock, plus an earnout of $200 million in performance-related conditions, signaling a shift toward innovation-driven contemporary strategies. The move is part of Elf’s broader expansion into a crossover market dominated by Gen Z and millennials, driven by their surge in consumption and preference for niche, high-quality beauty offerings.

HEmma Bieber, a media magnate who works alongside the original Brands, has also tapped the opportunities that could lead toRhines diversification. The brand’s Gen Z influence and strong social media following are centralizing its strength, enabling charging ahead in a market where consumers are adjusting to the consequences of rising inflation.

Known for its innovative peptide lip treatments, Rhines, launched this year’s TikTok phenomenon, has a strong audience and a solid distribution strategy, positioning itself as a strong competitor to beauty giants. Elf, which already owns its website and open stores in the US and Canada, has the potential to expand its portfolio into domestic stores like Sephora, proving a strategic step toward customer trust and brand clarity.
